These are original, MNNR-specific product terms for AI-facing materials and tools. They are not legal advice or a guarantee of any particular legal or regulatory outcome.

1. Scope and Relationship to the Terms of Service
These AI Terms & Conditions ("AI Terms") supplement the MNNR Terms of Service ("General Terms") and govern your access to and use of the artificial-intelligence features of the MNNR platform, including without limitation: agent authorization and policy-evaluation features, AI-assisted analytics, anomaly and fraud-signal detection, the MNNR MCP server and any agentic integrations, and any output generated by or with the assistance of machine-learning or generative-AI systems (collectively, "AI Features," and such output, "AI Output").
BY USING ANY AI FEATURE YOU AGREE TO THESE AI TERMS. IF THESE AI TERMS CONFLICT WITH THE GENERAL TERMS, THESE AI TERMS CONTROL WITH RESPECT TO THE AI FEATURES.

2. Description of AI Features
MNNR provides a rail-neutral control plane that authorizes and records decisions for payments initiated by autonomous AI agents. AI Features may include machine-learning models that evaluate transactions against customer-defined policies, score risk and anomaly signals, summarize or explain activity, and assist configuration. Some AI Features rely on models operated by third-party providers (Section 8). AI Features process the inputs you or your agents submit ("Input") and return AI Output. MNNR does not itself hold, transmit, or settle funds; authorization decisions surfaced by AI Features are advisory signals executed under your configured policies.
3. Transparency; You Are Interacting With AI
In accordance with transparency obligations including Article 50 of Regulation (EU) 2024/1689 (the "EU AI Act"), MNNR discloses that: (a) certain interactions within the Service are with an AI system and not a human; (b) AI-generated or AI-assisted content is identified as such where reasonably practicable; and (c) where you deploy MNNR AI Features in your own products, you are responsible for making the corresponding disclosures to your own end users, including informing natural persons that they are interacting with an AI system where required by applicable law.
4. Third-Party AI Agents and Assistants (ChatGPT, Gemini, Claude, Perplexity, and Others)
The Service is designed to authorize and govern transactions initiated by autonomous and semi-autonomous AI agents, including agents built on or operated through third-party AI platforms such as OpenAI ChatGPT, Google Gemini, Anthropic Claude, Perplexity, and comparable systems ("Third-Party Agents"). The following rules apply:
- Principal responsibility. Every Third-Party Agent that accesses the Service does so on behalf of an identified account holder (the "Principal"). All actions, Inputs, instructions, and transactions initiated by a Third-Party Agent are attributed to, and are the sole responsibility of, the Principal — exactly as if the Principal had acted directly.
- Agent authorization. Third-Party Agents may act only within credentials, mandates, spend ceilings, and policies the Principal has configured in MNNR. An agent acting outside its mandate may be declined, throttled, or suspended without notice.
- Agent identification. Third-Party Agents must identify themselves as automated systems (accurate user-agent / agent-identity headers, and MCP or API credentials issued to the Principal). Impersonating a human user or another principal's agent is prohibited.
- Platform terms. Use of a Third-Party Agent is also governed by that platform's own terms (OpenAI, Google, Anthropic, Perplexity, etc.). MNNR is not a party to those terms and is not responsible for the conduct, availability, or output of any third-party AI platform.
- No agent-formed contracts beyond mandate. As between you and MNNR, an instruction from your Third-Party Agent within its configured mandate is your instruction. MNNR is not liable for obligations an agent purports to create outside its configured mandate.
- Automated browsing/scraping. Third-Party Agents may read public pages of the site for the Principal's use. Bulk scraping, model-training collection, or circumvention of rate limits or robots directives remains prohibited under the General Terms.
5. No Guarantee of Accuracy of AI Output
AI OUTPUT IS GENERATED PROBABILISTICALLY AND IS NOT GUARANTEED TO BE ACCURATE, COMPLETE, CURRENT, OR ERROR-FREE. AI Output may contain errors, omissions, or so-called hallucinations, and may not reflect the most recent regulatory, market, or transactional state. You must independently review and verify AI Output before relying on it, and you are solely responsible for decisions, transactions, filings, or actions taken on the basis of AI Output. AI Output does not constitute legal, tax, accounting, investment, or compliance advice.
6. Human Oversight and Automated Decision-Making
You must maintain meaningful human oversight appropriate to the risk of your use case. Where AI Features contribute to decisions that produce legal or similarly significant effects concerning natural persons (including payment declines), you are responsible for compliance with Article 22 GDPR and analogous laws, including providing meaningful information about the logic involved, and honoring rights to human intervention, expression of point of view, and contest of the decision. MNNR provides audit logs and policy-decision records to support these obligations.
7. Permitted and Prohibited Use
You may use AI Features only in compliance with the General Terms, these AI Terms, and applicable law. You must not, and must not permit any agent or third party to:
- Use AI Features for practices prohibited by Article 5 of the EU AI Act, including manipulative, deceptive, or exploitative techniques or social scoring;
- Use AI Features as the sole basis for decisions in high-risk domains (credit, employment, housing, insurance, medical, legal) without legally required human review and safeguards;
- Submit Input you lack rights to submit, including third-party personal data without a lawful basis;
- Use AI Features to generate or facilitate fraud, money laundering, sanctions evasion, or any unlawful payment activity;
- Attempt to extract, reverse engineer, distill, or replicate the underlying models, weights, or training data, or use AI Output to train a competing model;
- Circumvent safety mitigations, rate limits, or authorization controls;
- Misrepresent AI Output as human-generated where disclosure is required.
8. Input, AI Output, and Intellectual Property
As between you and MNNR, you retain all rights in your Input. Subject to these AI Terms and applicable third-party model terms, MNNR assigns to you its rights, if any, in AI Output generated for you. You acknowledge that: (a) AI Output may not be protectable by copyright in some jurisdictions; (b) similar or identical output may be generated for other customers, and no exclusivity is granted; and (c) MNNR retains all rights in the Service, the AI Features, and the models, templates, and systems used to provide them.
9. Data Use, Training, and Third-Party Models
- No training on your content by default. MNNR does not use your Input or AI Output to train generalized foundation models. Aggregated, de-identified telemetry may be used to operate, secure, and improve the Service.
- Third-party providers. Certain AI Features are powered by third-party model providers under data-processing terms that prohibit training on your content. The current list of subprocessors is available on request at privacy@mnnr.app.
- Data protection. Personal data in Input is processed in accordance with the MNNR Privacy Policy and, where applicable, our Data Processing Addendum. EU customer deployments support EU data-residency controls.
- Retention. Policy-decision and audit records are retained as described in the General Terms to support your compliance and dispute needs.
10. Warranties Disclaimer
THE AI FEATURES AND AI OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, MNNR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OPERATION, WITH RESPECT TO THE AI FEATURES AND AI OUTPUT.
11. Limitation of Liability for AI Features
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MNNR SHALL NOT BE LIABLE FOR ANY LOSS OR DAMAGE ARISING FROM: (A) RELIANCE ON UNVERIFIED AI OUTPUT; (B) DECISIONS OR TRANSACTIONS EXECUTED BY YOUR AGENTS UNDER POLICIES YOU CONFIGURED; OR (C) ERRORS OR OMISSIONS IN AI OUTPUT. IN ALL CASES MNNR'S AGGREGATE LIABILITY IN CONNECTION WITH AI FEATURES IS SUBJECT TO, AND COUNTS TOWARD, THE LIABILITY CAP IN THE GENERAL TERMS. NOTHING IN THESE AI TERMS EXCLUDES LIABILITY THAT CANNOT BE EXCLUDED UNDER APPLICABLE LAW.
12. Indemnification
You will defend and indemnify MNNR against third-party claims arising from your Input, your deployment of AI Features in your products, your failure to make legally required AI disclosures to your end users, or your violation of Sections 4 or 7.
13. Regulatory Change; Updates to These AI Terms
The legal framework governing AI — including the EU AI Act, implementing acts, and U.S. federal and state AI laws — is evolving. MNNR may update these AI Terms to reflect legal or technical developments. We will provide at least 30 days' notice of material changes (by email or in-product notice); continued use of AI Features after the effective date constitutes acceptance. If you object, you may stop using the AI Features and, where the change materially degrades the Service, terminate per the General Terms.
14. Suspension
MNNR may suspend or restrict AI Features immediately where reasonably necessary to prevent unlawful use, security risk, or violation of Sections 4 or 7, or where required by a regulator or model provider.
15. Governing Law
These AI Terms are governed by the same law and dispute-resolution provisions as the General Terms.
